Terms of use

These terms govern use of T-Graph Payroll, provided by T-Graph Cloud Corporation("T-Graph"). By signing in you agree to them on behalf of yourself and, if you are an administrator, the company you represent ("the Client"). A signed subscription or data-processing agreement with the Client prevails over these terms where they differ.

1. The service

T-Graph Payroll computes Philippine payroll (including SSS, PhilHealth, Pag-IBIG and withholding tax), produces payslips, bank credit files and remittance summaries, and keeps HR records. Access is by invitation from T-Graph or the Client.

2. Accounts

  • Keep your password secret; tell us at once if you suspect misuse.
  • The Client decides who has access and what role each user has, and removes users who leave.
  • Use only the access your role gives you.

3. Client responsibilities

  • Enter accurate employee, rate and bank data, and review payroll, bank files and government reports before paying or filing. The Client remains responsible for its payroll, remittances and filings.
  • Have a lawful basis and give its employees the required privacy notice for the data it puts in the service, as personal information controller under the Data Privacy Act.
  • Not upload unlawful content or try to access other companies' data or break the service's security.

4. Our responsibilities

  • Process Client data only to provide the service and as described in the privacy notice and data-processing agreement.
  • Keep statutory tables up to date with reasonable care and protect data with appropriate security measures.
  • Give notice of planned maintenance where practical.

5. Fees

Fees are as shown on our pricing page or in the Client's order, billed monthly, exclusive of VAT unless stated. [Payment terms to be confirmed.]

6. Data ownership and exit

The Client owns its data. On termination the Client may export it within [30] days; after that we delete or anonymise it, except records we must keep by law.

7. Limits of liability

The service is provided with reasonable skill and care. Payroll and tax results depend on the data entered and should be reviewed by the Client. To the extent the law allows, T-Graph's total liability is limited to the fees paid in the [12] months before the claim, and neither party is liable for indirect or consequential loss. 8. Suspension and termination

We may suspend access that threatens the security of the service or other Clients, or for unpaid fees after notice. Either party may end the subscription as set out in the order.

9. Governing law

These terms are governed by Philippine law. Disputes go to the courts of [city], Philippines. [To be confirmed.]
